LandTrustX Affiliate Program Terms & Conditions

1. Acceptance of Terms

By applying to and participating in the LandTrustX Affiliate Program ("Program"), you ("Affiliate") agree to be bound by these Terms and Conditions ("Terms"). LandTrustX ("Company," "we," or "us") reserves the right to modify these Terms at any time with notice to active Affiliates.

2. Program Overview

The LandTrustX Affiliate Program allows approved Affiliates to earn referral fees by introducing qualified investors to our platform. Affiliates may promote LandTrustX properties and investment opportunities through unique referral links, widgets, or other approved marketing materials.

3. Eligibility

  • Affiliates must be at least 18 years of age.
  • Affiliates must provide accurate contact and tax information.
  • Affiliates must comply with all applicable federal, state, and local laws.
  • Real estate professionals must maintain active licensure where required by law.

4. Referral Fees

Fee Structure: Affiliates will earn a referral fee when a referred investor completes their first funded investment transaction on the LandTrustX platform. The standard referral fee is $200 USD per qualified investor, subject to change at the Company's discretion with advance notice.

Qualified Transaction: A transaction qualifies for a referral fee when:

  • The referred investor successfully completes KYC/AML verification;
  • Funds are received and allocated to a property investment; and
  • The investor was attributed to the Affiliate within the 90-day attribution window.

Attribution Window: Credit for a referral is valid for 90 days from the investor's last interaction with an Affiliate's referral link. The Company uses a last-touch attribution model.

5. Payment Terms

Payment Schedule: Referral fees are paid monthly, subject to a minimum payout threshold of $100 USD. Payments are processed within 30 days following the end of each calendar month.

Payment Methods: Affiliates may choose to receive payments via ACH (U.S. bank accounts) or PayPal. Payment details must be provided and kept current in the Affiliate dashboard.

Tax Reporting: Affiliates are responsible for all applicable taxes. U.S.-based Affiliates earning $600 or more in a calendar year will receive IRS Form 1099-NEC. All Affiliates must submit a completed W-9 (U.S.) or W-8BEN (non-U.S.) form prior to receiving payment.

6. Affiliate Obligations

Affiliates agree to:

  • Promote LandTrustX in a truthful, professional, and ethical manner;
  • Not make false, misleading, or unsubstantiated claims about LandTrustX, its properties, or investment returns;
  • Comply with all federal and state securities laws, including Regulation D and applicable exemptions;
  • Not solicit or provide investment advice unless properly licensed to do so;
  • Disclose their affiliate relationship when promoting LandTrustX;
  • Not engage in spamming, fraudulent activity, or other prohibited marketing practices;
  • Not bid on LandTrustX brand keywords in paid search campaigns without prior written approval.

7. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination:

  • Self-referrals or fraudulent referrals (including family, friends, or controlled accounts);
  • Cookie stuffing, forced clicks, or other deceptive tracking practices;
  • Misrepresenting LandTrustX products, services, or returns;
  • Using LandTrustX trademarks or copyrighted materials without permission;
  • Violating securities laws or acting as an unregistered broker-dealer;
  • Any conduct that damages the reputation or business of LandTrustX.

8. Intellectual Property

LandTrustX grants Affiliates a limited, non-exclusive, non-transferable license to use approved marketing materials solely for the purpose of promoting the Program. All LandTrustX trademarks, logos, and content remain the exclusive property of the Company.

9. Termination

Either party may terminate this agreement at any time with or without cause. The Company reserves the right to suspend or terminate Affiliate accounts for violation of these Terms, fraudulent activity, or any conduct deemed harmful to the Company. Upon termination, unpaid referral fees for qualified transactions completed prior to termination will be paid according to the standard payment schedule.

10. Limitation of Liability

LandTrustX shall not be liable for any indirect, incidental, special, or consequential damages arising from participation in the Affiliate Program. The Company's total liability shall not exceed the total referral fees paid to the Affiliate in the preceding twelve months.

11. Indemnification

Affiliates agree to indemnify and hold harmless LandTrustX, its officers, directors, employees, and agents from any claims, damages, or expenses arising from the Affiliate's breach of these Terms or violation of applicable laws.

12. Modification of Terms

LandTrustX reserves the right to modify these Terms at any time. Affiliates will be notified of material changes via email. Continued participation in the Program following notification constitutes acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
